Every project is unique. The scope of work, pricing, timelines, and deliverables will be outlined and agreed upon before work begins.

Project Estimates

Quotes and estimates are based on the information available at the time they are prepared. Changes requested after a project begins may require additional time and cost.

Any additional work outside the original project scope will be discussed and approved before being completed.

Client Responsibilities

Clients agree to provide all necessary content, images, branding materials, logins, approvals, and requested information in a timely manner.

Delays in providing required materials may affect project timelines.

Payments

Payment terms will be agreed upon before work begins.

Unless otherwise specified:

  • Deposits may be required before work starts.
  • Final payment is due upon project completion and before website launch or delivery of final files.
  • Late payments may delay project completion or future support.

 

Photography & Video

Unless otherwise agreed, Direct Design retains copyright ownership of photographs and video created during a project while granting the client a perpetual license to use the finished media for their business and marketing purposes.

Clients may not resell or redistribute original media files without written permission.

Portfolio Rights

Direct Design reserves the right to display completed work, including websites, photography, video, branding, and logos, in our portfolio, website, and social media unless otherwise agreed upon in writing.

Third-Party Services

Projects may rely on third-party providers such as:

  • WordPress
  • Hosting companies
  • Domain registrars
  • Plugins
  • Themes
  • Payment processors
  • Email providers

Direct Design is not responsible for outages, pricing changes, discontinued products, security issues, or policy changes made by third-party providers.

Website Maintenance

Unless a maintenance agreement is in place, clients are responsible for ongoing updates, backups, hosting, plugin licensing, security, and software maintenance after project completion.

Direct Design is happy to provide maintenance services upon request.

Limitation of Liability

While every effort is made to produce reliable, secure, and professional work, Direct Design cannot guarantee uninterrupted website availability, search engine rankings, increased revenue, or specific business results.

Direct Design shall not be liable for any indirect, incidental, or consequential damages arising from the use of this website or our services.

Search Engine Optimization (SEO)

We build websites using SEO best practices, but search engine rankings depend on many factors beyond our control, including competition, search engine algorithms, website age, content quality, and ongoing marketing efforts.

No guarantees are made regarding specific rankings or traffic increases.

Intellectual Property

All original content, graphics, photography, logos, text, designs, and materials on this website are the property of Direct Design unless otherwise noted and may not be copied or used without permission.

Cancellation

Either party may terminate a project at any time.

The client agrees to pay for all work completed up to the date of cancellation.

Deposits are generally non-refundable once work has begun.

Governing Law

These Terms & Conditions shall be governed by the laws of the State of Ohio.

Any disputes arising from these terms shall be handled in the appropriate courts located within the State of Ohio.
